Name Restrictions for BVI IBC's
A BVI Business Company may not be registered under the name that has already been incorporated with an existing BVI company, or is so similar that, in the Registrar's opinion, may lead to confusion or misleading. The BVI Company Registrar has a name-reservation system, so the name which is reserved would also be considered an existing name.
If there is no licence or prior written consent of the Financial Services Commission, a BVI Business Company may not be registered under a name that contains such “restricted” words or phrases as "Assurance", "Bank", "Building Society", "Chamber of Commerce", "Chartered", "Cooperative", "Imperial", "Municipal", "Royal", "Trust", under any other name that suggests an association with the banking, trust company, insurance, mutual fund, assurance or reinsurance industry, or the name which suggests the patronage of royalty or of the British Virgin Islands government.
Name restrictions apply also in cases when the name is considered undesirable, obscene or offensive.
Language of Name
British Virgin Islands Business Companies are usually incorporated using the English language and with an English name. Provision exists for a translation of the name to be included in the Memorandum and Articles of Association.
Suffixes to denote the type of company
The name of a limited company must end with the word “Limited”, “Corporation”, “Incorporation”, “Incorporated”; the words “Societe Anonyme”, “Sociedad Anonima”, the relevant abbreviations (Ltd., Corp., Inc., S.A.) or other word or words, or abbreviations thereof.
The name of an unlimited company must end with the word “Unlimited” or the abbreviation "Unltd".
The name of a restricted purposes company must end with "(SPV) Limited" or "(SPV) Ltd".
The name of a segregated portfolio company must end with "Segregated Portfolio Company Limited"; "Segregated Portfolio Company Ltd"; "SPC Limited"; "SPC Ltd"; or, in the case of a segregated portfolio company that is a restricted purposes company, one of the phrases specified in this paragraph with "(SPV)" inserted immediately before that phrase or immediately before "Limited" or "Ltd".
The name of a BVI Business Company include the expression “BVI Company Number”, followed by company number in figures and the ending required, for example, “ BVI Company Number 937238 Ltd”. Such company name may also contain additional foreign characters between the company number and the ending.
